Alessandro Metrangolo focuses his professional activities on the field of commercial and corporate law, having gained an extensive experience in M&A transactions. He also provides assistance on restructuring operations and transactions on distressed assets involving different solutions, ranging from extraordinary transactions to the arrangement with creditors’ agreements provided under the Italian Bankruptcy Law, including the use of equity or equity-like instruments, the granting of DIP finance and/or financial debt restructuring. He has acquired significant experience in the non-performing exposures sector, advising national and international entities (investment funds, asset management companies, asset managers, servicers) on the structuring, negotiation and execution of different transactions relating to the purchase and management of NPEs and the related guarantees (purchase and/or sale on the secondary market of “single names” or credits in bulk, share deals, asset deals through ReoCo/OpCo structures). Over the years, he has also gained wide experience in assisting supervised entities (in particular banks and other financial intermediaries) on corporate governance, reorganization and M&A matters, operating in negotiating frameworks and advising on corporate and regulatory issues. He currently holds the positions of independent director and chairman of the risk committee of an Italian bank.
